    BANGLADESH WELFARE ASSOCIATION AND COMMUNITY CENTRE (BWACC)
    CONSTITUTION - Adopted on the 20th September 2004 For Registration ( Originally Adopted 1974 )


  • 1. Adoption of the constitution
    i) The Association and its property will be administered and managed in accordance with the provisions in Parts 1, 2 and 3 of this constitution.


  • 2 The Name
    i) The Associations shall be known as Bangladesh Welfare Association and Community Centre. Here in after called BWACC.


  • 3 Registered office of the BWACC:

  • 4 The Objects


  • The Charity’s objects (“the Objects”) are to promote the benefit of the inhabitants of Bolton Neighbourhood i.e. the town/borough councils of Bolton, Greater Manchester, Lancashire and other Neighbouring Localities (“the Area Benefits”) whether members of the BWACC or not in particular those of Bangladeshi origin residing permanently in the Area of Benefits, without distinction of sex or of political, religious or other opinions by .

  • i. Advancing education concerning good citizenship in a multi-racial, multi-cultural Big -Society and multi-faith society promoting good relations between such persons;
    ii. i. All sports and leisure activities for specially for youth , men/women’s .
    iii. i. Advancing education and skill training , Bangladeshi culture and heritage/ history yearly activities either independently or jointly with other organisations having similar objects;
    iv.
    iii. Relieving such person, primarily those of Bangladeshi origin, in conditions of need, hardship or distress with question of housing, employment, welfare rights, social issues, immigration and legal problems;
  • v. Associating with local authorities, voluntary organisations and inhabitants in a common effort to advance education and to provide facilities in the interests of social welfare, employments for recreation and leisure time occupation with the object of improving conditions of life for the said inhabitant;
    VI.
    v. Establishing or securing the establishment of the community centre and managing or co-operating with any statutory authority in the maintenance and management of such a centre for activities promoted by the Charity in furtherance of the Objects


  • 5 Membership

  • i. We invite you to be Bolton and Neighbourhoods All Greater Manchester , Lancashire and other Neighbouring Localities by joining/becoming the member of The BWACC . The member’s support exhibits Social development , educational Entrepreneurship programs and all other Community activities and yearly special events . Your membership brings you an invitation to BWACC all annual activities .
    ii. Membership shall be open to individuals over the age of 18 years or organisations of Bangladeshi origin residing permanently within Bolton and Neighbourhoods of The Greater Manchester regardless of their religious beliefs provided they accept the aims and objects of the BWACC, whom are approved by the Executive The Chairman


  • 6 Membership Fees:


  • i. Membership fee - £ 501 (Annual Membership)
  • FOUNDER MEMBERSHIP may be conferred by the Executive The Chairman to the persons who will initially donate at least £5001. A Founder Members does not thereafter pay an annual subscription .The founder membership will be inherited by the next of kin.
  • v. HONORARY MEMBERSHIP may be conferred by the Executive The Chairman to the persons over the age of 18 whose contribution in furthering the BWACC’s aim and objectives are considered to be the most beneficial and outstanding Such membership will be subject to renewal. The number of such members should not exceed 3 at any given time.
  • VI . THE MEMBERSHIP paid shall be on a continuous basis and shall terminate and the end of the Biennial General Meeting as hereafter defined.
  • vii. FOUNDER OR HONORARY MEMBERS will have no voting rights and such member or members may be living in or outside the area. 


  • 7 Subscription:

    i. All paid members shall pay such subscription as the Executive The Chairman recommends, subject to the approval of the Annual General Meeting.


  • 8 Co-option:


  • i. Executive The Chairman shall be empowered to co-opt up to 3 persons with special expertise to the Committee. The Chairperson of the Committees working with the Centre will automatically become a member of the Committee.


  • 9 Termination of Membership:


  • i. Executive The Chairman shall have the right for good and sufficient reason to suspend or terminate the membership .


  • 10 Executive:



  • i. Executive The Chairman shall be complete full terms until expiring on the next Biennial election.
    ii. Executive The Chairman will be running The Centre day to day with team - as a general management of the BWACC and the Centre .
    iii. The BWACC shall have three or more of the following Honorary Officers :
    The posts of the Honorary Office Bearers shall be Adviser, Executive The Chairman, Secretary, Treasurer, Social Secretary, Education Secretary, Publication Secretary, Sports Secretary, Cultural Secretary and such other officers as Executive The Chairman deem necessarily.
    iv. The Honorary Officers must be a paid member of the BWACC or Nominated representative of an organisation that is a paid member of the BWACC .


  • 11 Honorary Office Bearers:



    i. Only paid Members of the BWACC shall be eligible to serve as Honorary Office Bearers.
    ii. If a vacancy occurs in any of the posts of Honorary Office Bearers, Executive The Chairman shall be entitled to fill the vacancy from amongst the paid members of the Committee. Any person appointed to fill such a vacancy shall hold the office until the conclusion of the next election .
    iii. If a vacancy occurs among the members of Executive The Chairman shall have the power to fill the vacancy by co-opting from the paid members.
    Iv . Executive The Chairman and the Honorary Office Bearers shall act as a team management of the BWACC .

    12 Officers:


    i. Executive The Chairman shall have the power to appoint or dismiss, and fix the remuneration of the staff, as may in its option be necessary.
    ii. The Annual General Meeting of the BWACC shall be held in the months if October or November at a place as Executive The Chairman shall determine. At least 28 days notice shall be given in writing by the Secretary to each member for the Annual General Meeting. The business of the Annual General Meeting shall be
    i. Consideration of the Annual Report and the Audited Account;
    ii. Determination (if due) if the Biennial election date to Select Executive The Chairman. Such dates shall be in the months of October and November and Such Annual General Meeting is hereinafter referred to as the Biennial General Meeting
    iii. Appointment of auditors
    iv. Consideration of any other business of which due notice has been given in writing to Executive The Chairman at least 7 days before the date of the Annual General Meeting.

  • 13 Election:



    i. Executive The Chairman will decide the procedure of the Biennial election of the Committee including office bearers and the procedure will be made circular, 28 days before the date of the election.
    ii. The Membership List will be closed on the expiry of 4 weeks from the date of the Biennial General Meeting and shall reopen on the conclusion of the election .
    iii. The last date for submitting nominations will be 14 days before the date of the election.


  • 14 Rules of Procedures:


    i. Subject to the provisions, all questions arising at any meeting shall be decided by a simple majority of those present and to vote thereat. No member shall exercise more than one vote, but in the case of equality of votes, the Chairperson shall have a casting vote.
    ii. Quorum 
    i. At least 5 members shall form quorum at meetings of the Committee. 23 plus general members shall form quorum at General Meetings of the BWACC.
    iii. Minutes 
    iv. A Minute Book shall be kept by the BWACC, and the appropriate person shall enter therein a record of all proceedings and resolutions. This can, however, be kept in the typed-out pages each side and signed by Executive The Chairman .
     
    iv. Amendment to the Constitution
    i. Any proposal to alter this constitution must be delivered in writing to Executive The Chairman of the BWACC not less than 28 days before the date of the meeting at which it is first to be considered for an amendment .
    ii. Any notice for amendment of Constitution will require signature by Executive The Chairman of the BWACC.


    15 Finance
    :

  • i. All monies raised on behalf of the BWACC shall be applied to furthering the objects of the BWACC and for no other purposes, but nothing prevents the Committee making payments in good faith and proper remuneration to any repayment of pocket expenses.
    ii. The Honorary Treasurer shall keep proper accounts of the finances of the BWACC.
    iii. The Accounts shall be audited.
    iv. Audited Accounts shall be submitted to the Annual General Meeting .
    v. A bank account shall be opened in the name of the BWACC with such bank. Executive The Chairman and the Treasurer of the BWACC are authorised to sign cheques on behalf of the BWACC.

    16 Property (The Centre):

  • i. The title to all real or personal property which may be acquired by or on behalf of the BWACC shall be vested in a Trust, lawfully entitled to act as Custodian to the Executive The Chairman of the BWACC or in less than three who shall enter the Deed of Trust setting forth the purposes and conditions under which they hold such property in Trust for the BWACC.


  • 17 The rules for the use of the Centre:

  • i. Executive The Chairman shall have the power to adopt and issue Standing Order and/or Rules for the use of the Centre. Such Standing Order and Rules shall come into operation immediately, provided that they shall be subject to review by The Executive The Chairman in Meeting.

    18 Repair and Insurance of the Centre:
  • i. Executive The Chairman must keep in repair and insure to their full value against fire and other unusual risks all the Buildings of the BWACC ( except those buildings that are required to be kept in repair and insured by a tenant ) . They must also insure the Buildings in respect of the public liability and employer’s liability.


  • 19 Dissolution:


  • i. Executive The Chairman decides at any time that on the grounds of expense or otherwise it is necessary or advisable to dissolve the BWACC, who have the power to vote, and of Bangladeshi inhabitants of the area of benefit (over 18 years of age). Not less that 21 days notice (stating the terms of the resolutions to be proposed thereat) shall be posted in a conspicuous place or places in the area of benefit, advertised in the newspapers and the Charity Commissioners for England and Wales. If such a decision shall be confirmed by a simple majority of those present and voting at such a meeting . Executive The Chairman shall have the power to dispose of the assets of the BWACC. Any assets remaining after the satisfaction of any proper debts and liabilities shall be applied towards charitable purposes for the benefit of the inhabitants (Bangladeshi) of the area of benefit and such a decision may be approved by the Charity Commissioners for England and Wales.

    20 Major Risks: (Risk Management)


  • i. The Centre has worked on a corporate risk management exercise. A risk management strategy and risk register where agreed by the Board Meeting. Executive The Chairman after Board Meeting recognise that any major risk to which the BWACC is exposed needs to be reviewed and a system put in place to mitigate those risks end ensuring an action plan to mitigate its key risks.


    21 Miscellaneous:


  • i. If any Bangladeshi should die within the community, The BWACC will help the next of kin in his or her needs. If any person has no relatives in this country, BWACC will carry out the burial proceedings in this country with respect.
    ii. In any dispute within any family or in the community, The BWACC will help to keep unity and peace in the family or in the community .
    iii. The BWACC will not interfere in any dispute of any family members of the community.



  • 22 Equal opportunities:


  • i. The Organisation is firmly committed to Equal Opportunities in the recruitment and development of staff members and provides service to all concerned who walks through the door in need of any help and assistance.
    ii. The BWACC has no paid staff instead exclusively volunteer groups deal with all the office work at present.
